Our nominee services are for clients who require increased privacy and security in their ownership and investments activities in Hong Kong.
NOMINEE SHAREHOLDER SERVICES
We offer a nominee shareholder service that makes it possible for the shares in our client’s company to be held in trust in the name of our nominee shareholder. This provides confidential ownership that will not be visible in the public records at the Companies Registry.
To ensure that our clients maintain control of the shares in their company, a declaration of trust is executed between the shareholder and our customer, firmly declaring that the shares are held in trust by the nominee shareholder for the benefit of the client.
NOMINEE DIRECTOR SERVICES
This service provides for an individual to be assigned as a nominee director for the client’s designated company. The name of the nominee director will then appear in the public records at the Companies Registry as director of the company.
Our nominee director will act for the client after instructions are given by the client and accordance with the terms of the Nominee Directors Agreement established between the nominee director and our client. Since nominee director is legally responsible for all the actions of the company but he/she can only accept appointments where he/she is the sole signatory to the company’s bank account. The activities of this bank account will be operated based on the client’s explicit instructions.
Please note that the use of nominee services must always be diclosed to all banks when opening bank accounts in Hong Kong and our client must be present during the account opening meetings together with the nominee director at the bank.
